1. Introduction
These Terms and Conditions (“Agreement”) govern the provision of services by Digitally Organic (“we”, “us”, or “our”) to the client (“you”, “your”, or “Client”). By engaging our services, you agree to be bound by these terms. If you do not accept these terms, please refrain from using our services.
2. Services Provided
Digitally Organic provides the following services:
Website design and development
Search Engine Optimization (SEO)
Pay-Per-Click (PPC) campaign management
Sales funnel creation and optimization
Graphic design and branding
Digital strategy consultation and audits
Hosting and website maintenance (when included in your package)
A detailed proposal or project brief will outline the specific deliverables and scope of work.
3. Client Responsibilities
You agree to:
Provide all necessary content (text, images, video, etc.) and brand assets in a timely manner
Respond to feedback and approval requests within 5 business days
Ensure any materials provided are licensed or owned by you
Clearly communicate project goals, deadlines, and expectations
Failure to meet these responsibilities may delay the project and/or incur additional charges.
4. Project Timeline
Project timelines will be outlined in your proposal. These estimates assume timely delivery of content and approvals from the client.
Delays in providing necessary information or sign-offs may result in a delay in your delivery schedule. We are not responsible for missed deadlines due to client-side delays or third-party issues.
5. Payment Terms
A 50% non-refundable deposit is required to initiate all projects unless otherwise agreed in writing.
The remaining balance is due upon completion of the project and prior to handover, website launch, or campaign activation.
Late payments may incur a 5% charge every 14 days overdue.
Additional work outside the original scope will be quoted separately and billed before proceeding.
6. Revisions and Scope
All projects include 2 rounds of revisions unless otherwise stated.
Revisions beyond the included rounds will be charged at our standard hourly rate or quoted as a new piece of work.
Major scope changes (e.g., new pages, additional design elements, strategy changes) must be agreed in writing and will be charged accordingly.
7. Intellectual Property
All final deliverables become the client’s property upon full payment.
Draft files, working files, or concepts not chosen remain the property of Digitally Organic.
We reserve the right to showcase completed projects in our portfolio, website, and social media.
You confirm that any materials you provide (e.g., logos, images) are either owned or properly licensed.
8. Hosting and Maintenance (if applicable)
Where hosting or maintenance is included:
We will perform regular updates, backups, and security checks as outlined in your plan.
You are responsible for your website’s content updates unless stated otherwise.
We are not liable for downtime caused by third-party hosting providers or user interference.
9. Cancellations and Termination
Either party may terminate the project with 14 days’ written notice.
If the client terminates before project completion, all completed work up to that point will be billed.
Deposits are non-refundable.
Projects paused for more than 30 days without communication may be considered terminated.
10. Liability
Digitally Organic will not be held liable for:
Loss of revenue, data, or opportunities from website downtime or marketing delays
Performance fluctuations in SEO or PPC due to algorithm changes or market shifts
Any third-party services or platforms used (e.g., Google Ads, hosting, plugins)
Our maximum liability will not exceed the total paid by the client for the related project.
11. Confidentiality
Both parties agree to keep confidential all proprietary information, materials, and communication marked or understood as confidential.
12. Data Protection
We adhere to UK GDPR and Data Protection laws. All personal data is stored securely and only used for project and communication purposes.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England.
14. Updates to Terms
We reserve the right to amend these Terms and Conditions at any time. Changes will be posted on our website and take immediate effect upon publication.
